MFE concludes the takeover bid for 27.23% of Mediaset España after liquidating the part in shares

MFE-Media For Europe has finally completed the takeover bid (OPA) for 27.23% of Mediaset España after having settled the part in shares of the consideration for the offer, as notified in a statement sent to the National Commission of the Stock Market (CNMV).

Yesterday the group already paid the cash part of the offer, at a rate of 2.16 euros for each share of the Spanish group. However, the Italian company indicated that, despite having carried out all the necessary actions regarding the counterparty in shares, there were technical incidents "exclusively attributable to Citibank, Caecis Bank and BNP Paribas" that caused the delay in the liquidation of such securities with respect to approximately 274 million new MFE A common shares.

Last week, MFE achieved an acceptance level of 61.45% of the shares to which it directed the offer over Mediaset España, which gave it an additional 27.23% position over the Spanish company.

The minimum acceptance condition set by MFE in the offer brochure was 29.31%, but the company decided to waive said clause and settled for 27.23%, which raises its position in Mediaset España to 82, 92%.
