Iberdrola sets the complementary dividend at 0.27 euros per share and increases capital by 1,759 million

Iberdrola will distribute a supplementary dividend of 0.274 euros gross per share and will increase capital worth 1,759 million euros, as reported by the energy company to the National Securities Market Commission (CNMV) on Wednesday.

The company will distribute this complementary dividend among its 600,000 shareholders in accordance with the terms of the new edition of the 'Iberdrola Flexible Remuneration' system and the amount is added to the gross 0.17 euros per share paid as an interim dividend last February and to the 0.005 euros per share of the involvement dividend distributed after the shareholders' meeting last June.

In this way, the total shareholder remuneration for the 2021 financial year amounts to 0.449 euros gross per share, 6.4% more than in the previous year.

The company has highlighted that shareholders have three options (not mutually exclusive) to receive the complementary dividend: collect the amount in cash; sell their allotment rights on the market or obtain new shares released from the group free of charge.

As regards Iberdrola's flexible remuneration schedule, July 8 will be the last day on which the company's shares with the right to participate in the 'Iberdrola Flexible Remuneration' optional dividend system are traded, that is, with the right to opt for any of the options offered by this system.

July 11 will be the date to determine the shareholders who will have the right to participate in the 'Iberdrola Flexible Remuneration' system, while July 21 will end the common election and trading period on the free allocation rights market.

On August 2, the dividend will be paid to shareholders who choose to receive it in cash, and on August 3, the listing of the new shares that will be issued by virtue of the capital increase will begin.

Iberdrola has set the maximum reference market value of the capital increase at 1,759 million euros, which, according to the company, "guarantees that the amount of the gross complementary dividend per share is at least 0.270 euros".

In this sense, the maximum number of new shares to be issued due to the capital increase is 173,333,333, although the number of titles that are finally created "will depend on the number of shareholders who choose not to waive their free allocation rights" .

"It will be understood that the shareholders who choose to receive the complementary dividend during the common election period in relation to all or part of the shares of the company of which they are owners will resign, totally or partially (as the case may be), and expressly, to the free allocation rights that correspond to them", he added.

Iberdrola has specified that the number of free allocation rights required to receive a new share is 36.
